Independent Volunteer Board Directors - two vacancies

Remote / Scotland | Unpaid | approximately 2-4 hours per month

Neighbours to Friends CIC is a Scottish Community Interest Company limited by guarantee. We reduce barriers to face-to-face social connection for adults by creating recurring, welcoming local social activity. We are strengthening independent governance as we develop grant funding, volunteer-led delivery and a separate
earned-income/trading route.

We are recruiting two independent unpaid statutory Directors. These
are genuine company-director appointments, not honorary titles or
operational volunteer-host roles. Successful candidates will be
appointed under the CIC's Articles and registered at Companies House.

ROLE A - FINANCE / GOVERNANCE DIRECTOR
Useful experience may include financial oversight, management
accounts, budgeting or accountancy; governance, compliance, risk or audit; grant-finance controls; and board or committee experience.
First-time directors are welcome where the underlying professional
judgement is strong.

ROLE B - SOCIAL ENTERPRISE / PARTNERSHIPS DIRECTOR
Useful experience may include social enterprise, business development or B2B sales; partnerships, corporate engagement or events; sustainable earned-income models; strategy, scaling or organisational development; or community/public-benefit work.

DIRECTOR CONTRIBUTION
Directors will contribute to collective board decisions and strategy;
review plans, risks, finances and evidence; help keep community
delivery, grant-funded work and developing commercial activity clearly separated; oversee relevant volunteer-delivery and organisational risks; declare conflicts and exercise independent judgement; and help improve governance and sustainability without taking over day-to-day operations.

The role does not require a personal fundraising quota, personal
donations, routine line management of volunteers or weekly event
hosting.

TIME AND LOCATION
Approximately 2-4 hours per month on average, mainly remote, including board meetings, preparation and occasional focused review. Candidates based anywhere in the UK can be considered if they can engage reliably with a Scottish CIC and its context.

PAYMENT
Unpaid volunteer board positions. No salary, retainer or commission.
Reasonable properly incurred director expenses may be reimbursed where authorised and where budget permits.

WHO CAN APPLY
Applicants must be legally permitted and willing to act as a UK
company director; willing to be registered at Companies House;
independent of the current related-director structure; able to
disclose and manage conflicts; comfortable contributing to an
early-stage organisation; and supportive of the CIC's public-benefit
purpose. We welcome first-time board members as well as experienced directors.

Candidates must not be relatives or household members of the existing related directors and should not have a relationship that prevents objective scrutiny of board decisions.
